CoreAI Acceptable Use Policy

This CoreAI AUP governs Clients and each of its Third Party Users (collectively referred to in this CoreAI AUP as you) use of the CoreAI Platform. Your access and use of the CoreAI Platform constitutes your acceptance and agreement to be bound by this CoreAI AUP. Supplier may modify this CoreAI AUP from time to time. Continuing to use the CoreAI Platform following notification of the changes or amendments to this CoreAI AUP constitutes your agreement to and acceptance of those changes and amendments. If you do not agree to the CoreAI AUP, do not access or otherwise use the CoreAI Platform.

1. Intended Use

The CoreAI Platform is an artificial intelligence tool that is intended to assist you with a variety of functions to support your business, including, but not limited to, optimizing your advertising and marketing activities and generating ideas, content and other materials that may be used in connection with advertising or marketing. Using the CoreAI Platform for any purpose other than as contemplated in this CoreAI AUP or elsewhere in the Platform T&Cs is prohibited.

1. Responsible Use

Client acknowledges that responsible use of AI technologies, including adherence to the CoreAI Terms, this CoreAI AUP, and any applicable governance policies shared by Supplier, is critical to the effective delivery of the CoreAI Platform and Platform Services. Clientagrees to use the CoreAI Platform, Platform Services and Outputs responsibly and in accordance with the Platform T&Cs, this CoreAI AUP, applicable laws, and ethical and industry standards.

1. Prohibited Activities

You may not use, or facilitate or allow others to use, the CoreAI Platform or Output:

• for any illegal or fraudulent activity;
• to violate the rights of others;
• to threaten, incite, promote, or actively encourage violence, terrorism, or other serious harm;
• to violate the security, integrity, or availability of any user, network, computer or communications system, software application, or network or computing device;
• to distribute, publish, send, or facilitate the sending of unsolicited mass email or other messages, promotions, advertising, or solicitations (or spam); or
• to systematically retrieve data or other content from the CoreAI Platform or elsewhere to create or compile, directly or indirectly, a collection, compilation, database, or directory without Suppliers written permission.

In addition, you will not:

• circumvent, disable, or otherwise interfere with security-related features of the CoreAI Platform, including attempt to bypass any measures of the CoreAI Platform designed to prevent or restrict access to the CoreAI Platform, or any portion of the CoreAI Platform;
• engage in unauthorized framing of or linking to the CoreAI Platform;
• engage in any automated use of the CoreAI Platform, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools;
• interfere with, disrupt, or create an undue burden on the CoreAI Platform or the networks or the CoreAI Platform connected;
• attempt to impersonate another user or person or use the username of another user;
• use any information obtained from the CoreAI Platform in order to harass, abuse, or harm another person;
• use the CoreAI Platform as part of any effort to compete with Supplier or its Affiliates or otherwise use the CoreAI Platform for any revenue-generating endeavor or commercial enterprise that competes with Supplier or its Affiliates;
• decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the CoreAI Platform, except as expressly permitted by applicable law;
• delete the copyright or other proprietary rights notice posted on the CoreAI Platform or any content or data made available on the CoreAI Platform;
• copy or adapt the CoreAI Platform software;
• upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any partys uninterrupted use and enjoyment of the CoreAI Platform or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the CoreAI Platform; or
• use the CoreAI Platform in a manner inconsistent with any applicable laws or regulations.

You may not input any of the following as a prompt, training data, or other input into the CoreAI Platform:

• images, video, or audio that shows or depicts a human face, voice, or likeness, without obtaining all necessary licenses, consents, and permissions from such human, including as required by applicable law and any applicable union or guild collective bargaining agreement for the applicable use case and provided you do not use such images, video, or audit in any manner inconsistent with such use case;
• personal data or personally identifiable information (including, without limitation, such data or information protected by data protection or privacy laws);
• any data, content, or other materials for which you do not have the necessary rights (worldwide, perpetual licenses, consents, or permission for any purpose, and in any medium or channel) for use with the CoreAI Platform consistent with the terms of this CoreAI AUP and the Platform T&Cs; or
• any output from another generative AI platform into the CoreAI Platform.

You will not use the CoreAI Platform to generate any Output that:

• is an unsubstantiated product claim;
• is false or misleading;
• depicts a human face;
• contains any content that infringes or violates any third partys intellectual property, publicity, privacy, or other proprietary right;
• is harmful or offensive, including any content that is discriminatory, harassing, racist, sexist, bigoted, prejudiced, hateful, malicious, violent, slanderous, libelous, abusive, or sexually explicit; or
• will be used as an input into another generative AI platform.

1. Human Review and Oversight of Output

All output from CoreAI Platform must be thoroughly and adequately reviewed by a human. Do not copy and paste or otherwise duplicate any output from CoreAI Platform directly into any final creative assets, media plans, ad copy, targeting strategies, or other deliverables without reviewing and making any necessary revisions to remove any content that may infringe a third partys rights, exhibit bias, be offensive, false or misleading, or depict anything that may violate this CoreAI AUP or your advertising and media buying policies. Conduct at least the same quality control procedures on CoreAI Platform generated content as you would use on traditional human generated content.

1. User Accounts

To access and use CoreAI Platform, you must have an active user login and password (User Account). You will (a) protect the confidentiality of your User Account and not share the password to your User Account with anyone; (b) be solely responsible for any activities that occur from the use or misuse of your User Account; and (c) immediately notify Supplier of applicable personnel changes that require a change to your User Account. Your User Account may be immediately suspended or terminated in the event of actual or reasonably suspected unauthorized use.

1. Monitoring of Activities

In addition, Supplier may, but is not obligated to, monitor your use of CoreAI Platform, including tracking, tagging, and logging your input, output, and other activities on the CoreAI Platform, to confirm your compliance with the Platform T&Cs and this CoreAI AUP. You may not remove or modify any monitoring devices or otherwise interfere with Suppliers monitoring of your use of CoreAI Platform. If Supplier determines, at its sole discretion, that your use violates the Platform T&Cs or this CoreAI AUP, Supplier may terminate or suspend your access to CoreAI Platform, as provided in the Platform T&Cs.
